HIPAA Business Associate Agreement

ChiroScript AI acts as a Business Associate, as defined under the Health Insurance Portability and Accountability Act of 1996 ("HIPAA"), to the chiropractic clinics ("Covered Entities") that use our Service to process Protected Health Information ("PHI"). This page summarizes the terms of our standard Business Associate Agreement ("BAA").
1. Permitted Uses and Disclosures of PHI
ChiroScript AI will use and disclose PHI only as necessary to provide the Service to the Covered Entity, as permitted by the underlying service agreement, or as required by law. ChiroScript AI will not use or disclose PHI in any manner that would violate HIPAA if done by the Covered Entity directly.
2. Safeguards
ChiroScript AI implements administrative, physical, and technical safeguards designed to reasonably and appropriately protect the confidentiality, integrity, and availability of PHI, consistent with the HIPAA Security Rule.
3. Reporting
ChiroScript AI will report to the Covered Entity any use or disclosure of PHI not permitted by this Agreement, including breaches of unsecured PHI, without unreasonable delay after becoming aware of the incident.
4. Subcontractors
If ChiroScript AI engages subcontractors that create, receive, maintain, or transmit PHI on its behalf, ChiroScript AI will ensure those subcontractors agree to restrictions and conditions that are at least as protective as those in this Agreement.
5. Access, Amendment, and Accounting
ChiroScript AI will make PHI available to the Covered Entity as needed to fulfill patient rights under HIPAA, including access, amendment, and accounting of disclosures.
6. Term and Termination
This Agreement remains in effect for as long as ChiroScript AI creates, receives, maintains, or transmits PHI on behalf of the Covered Entity. Upon termination, ChiroScript AI will, where feasible, return or destroy all PHI in its possession, or extend protections to the PHI if return or destruction is not feasible.
